These Terms & Conditions ("Terms") govern your access to and use of the BeSpur platform ("Service") provided by Audox Soft, located in Annur, Coimbatore, Tamil Nadu 641653, India. By creating an account or using the Service, you agree to be bound by these Terms.

1. Definitions

  • "Service" means the BeSpur platform accessible at bespur.com, including all features, tools, and APIs.
  • "User" or "You" means any individual or business entity that registers for or uses the Service.
  • "Tenant" means a business account created on the platform, which may have multiple team members.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at support@bespur.com if you suspect unauthorised access.

3. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited, bulk, or spam messages
  • Violate Meta's WhatsApp Business Platform policies
  • Transmit malicious code, phishing content, or fraudulent messages
  • Harass, threaten, or abuse any individual
  • Collect personal data without proper consent
  • Infringe on any intellectual property rights
  • Interfere with or disrupt the Service or its infrastructure

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

4. WhatsApp Business API Compliance

The Service integrates with Meta's WhatsApp Business Platform. You are solely responsible for complying with Meta's policies, including obtaining proper opt-in consent from contacts before sending messages. BeSpur is not liable for actions taken by Meta (such as account bans or message delivery failures) resulting from your use of the WhatsApp Business API.

5. Plans & Pricing

We offer multiple subscription plans with varying features and limits. Plan details, pricing, and applicable taxes are displayed at the time of purchase. We reserve the right to modify pricing with 30 days' prior notice to active subscribers.

6. Payment Terms

  • Subscription fees are billed in advance for the selected period.
  • All prices are in Indian Rupees (INR) unless otherwise stated.
  • Applicable taxes (GST) are calculated and displayed during checkout.
  • Payments are processed securely through third-party providers (Razorpay, Stripe). We do not store your full payment card details.
  • Failure to pay may result in downgrade to the free tier or account suspension.

7. Data Ownership

You retain full ownership of the data you upload or generate through the Service (contacts, conversations, workflows, templates). We do not claim any intellectual property rights over your content. We use your data solely to provide the Service as described in our Privacy Policy.

8. Service Availability

We strive to maintain high uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable notice for scheduled maintenance.

9. Limitation of Liability

To the maximum extent permitted by law, Audox Soft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Audox Soft, its directors, employees, and affiliates from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

You may cancel your account at any time. We may terminate or suspend your access for violation of these Terms or for any reason with 30 days' notice. Upon termination, your data will be retained for 90 days and then permanently deleted, unless retention is required by law.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India.

13. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
